3. Client responsibilities

Clients agree to:

Delays in these may impact timelines and outcomes.

4. Fees and payments

All fees are non-refundable unless explicitly stated otherwise.

5. Intellectual property

• Any pre-existing tools, frameworks, or methodologies used by Nivaara Consulting remain our intellectual property
• Upon full payment, clients are granted usage rights to deliverables created specifically for them

6. Confidentiality

We treat all client information as confidential and will not disclose it to third parties without consent, unless required by law.

Clients agree to maintain confidentiality of any proprietary information shared by Nivaara Consulting.

7. Limitation of liability

To the maximum extent permitted by law, Nivaara Consulting shall not be liable for:

• Indirect or consequential losses
• Loss of profits, revenue, or business opportunities

Our total liability shall not exceed the fees paid for the specific engagement.

8. No guarantees

While we aim to deliver measurable outcomes, we do not guarantee specific business results, as outcomes depend on multiple external factors beyond our control.

9. Termination

Either party may terminate an engagement as per the terms defined in the project agreement.

Any work completed up to the date of termination shall be billable.

10. Third-party tools and services

We may recommend or implement third-party tools or platforms. We are not responsible for:

• Their performance
• Downtime
• Data handling practices

Use of such tools is subject to their respective terms.

11. Governing law

These Terms are governed by the laws of India, including applicable commercial and data protection laws.

12. Updates to these Terms
